Piemetrics Terms and Conditions
These Terms and Conditions (“Terms”) govern the use of the services provided by Piemetrics Ltd (“Piemetrics”, “we”, “us”, “our”), including through our website piemetrics.co (the “Website”) and any related reports, software tools, dashboards, and services (collectively, the “Services”).
By accessing or using our Services (including free and paid tiers), you (“Client”, “you” or “your”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
1. Definitions
Client Data means all information, menu data, price data, images, trademarks, and other materials provided or made available by the Client in connection with the Services.
Reports means any menu pricing reports, data files, analyses, dashboards, or recommendations generated by the Services.
Competitor Data means publicly available information collected or analysed by Piemetrics to provide the Services.
Intellectual Property Rights means patents, copyright, design rights, database rights, trade secrets, trade marks, and any other rights of a similar nature, whether registered or unregistered, anywhere in the world.
2. Use of Services
2.1. Piemetrics provides an AI-powered menu price optimisation platform that benchmarks Client menu data against publicly available competitor data, applies economic and psychological pricing analysis, and generates strategic pricing recommendations.
2.2. You may use the Services only for your internal business purposes. You must not resell, sublicense, reproduce, or distribute the Services or any Reports without Piemetrics’ prior written consent.
2.3. You are responsible for ensuring that all data you provide to Piemetrics is accurate, lawful, and does not infringe the rights of any third party.
3. Account Registration
3.1. To access certain features of the Services, you may be required to register for an account. You must keep your account credentials confidential and are responsible for all activities under your account.
3.2. Piemetrics may suspend or terminate access to your account if you breach these Terms.
4. Fees and Payment
4.1. Fees for paid tiers of the Services are set out on the Website or otherwise agreed in writing.
4.2. All payments are non-refundable except where required by law.
4.3. Subscription agreements are based on a contract of minimum 12 months. The client can opt out within the first 30-days. The subscription will continue after 12 months until the client renews or opts out of the service.
5. Intellectual Property
5.1. Piemetrics retains all Intellectual Property Rights in the Services, including algorithms, software, tools, methodologies, competitor data, and all Reports generated.
5.2. The Client retains ownership of Client Data. By providing Client Data, you grant Piemetrics a worldwide, non-exclusive, royalty-free licence to use, store, process, and analyse the data solely for the purpose of providing the Services.
5.3. Piemetrics may anonymise and aggregate Client Data for product development, benchmarking, and analytical purposes, provided that such data cannot be used to identify the Client.
5A. Use of Client Menu Data for Service Improvement
5A.1. The Client acknowledges and agrees that Piemetrics may store, catalogue, and incorporate the Client’s menu data (including item names, prices, and related metadata) into its internal databases for the purpose of improving and expanding the accuracy, benchmarking scope, and performance of the Services.
5A.2. Piemetrics will ensure that any use of Client menu data under this clause is fully anonymised and aggregated, so that no individual Client, brand, or location can be identified in any resulting datasets, models, or reports.
5A.3. Piemetrics will not publicly disclose, resell, or redistribute the Client’s original menu data or Reports, and will use such data solely for product development, quality assurance, benchmarking, and analytical purposes designed to enhance the Services provided to all customers.
6. Right to Use Client Logos and Marketing Rights
6.1. By using any Piemetrics product or service (including free, trial, or paid tiers), the Client grants Piemetrics a non-exclusive, royalty-free, worldwide licence to use and display the Client’s trade name, logo, and brand identifiers (“Client Marks”) on the Piemetrics Website, marketing materials, sales presentations, and case studies, for the purpose of identifying the Client as a user or customer of the Services.
6.2. If the Client wishes to revoke this licence, it may do so by providing 30 days’ prior written notice to Piemetrics. Upon receipt of such notice, Piemetrics will remove the Client Marks from future marketing materials (but may continue to use pre-existing printed or published materials).
7. Confidentiality
7.1. Each party will keep confidential all information disclosed by the other party that is marked confidential or that would reasonably be considered confidential.
7.2. This obligation does not apply to information that: (a) is publicly available; (b) was already known to the receiving party; (c) is independently developed; or (d) is required to be disclosed by law.
8. Disclaimer of Warranties
8.1. Piemetrics provides data-driven pricing recommendations and analysis. All Reports and recommendations are advisory only and do not guarantee any particular commercial, financial, or operational outcome.
8.2. Piemetrics shall not be responsible or liable for any financial loss, revenue reduction, margin change, reputational impact, or other consequence arising from the Client’s implementation (or non-implementation) of any pricing, bundling, or operational recommendations provided in the Reports or through the Services. The Client remains solely responsible for all business decisions made based on or in connection with such recommendations.
8.3. The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Piemetrics disclaims all warranties, express or implied, including fitness for a particular purpose, non-infringement, and accuracy of data.
9. Limitation of Liability
9.1. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot legally be excluded.
9.2. Piemetrics will not be liable for any indirect, consequential, or special losses, including loss of profits, revenue, goodwill, or business opportunity.
9.3. Piemetrics’ total aggregate liability arising out of or in connection with these Terms will not exceed the total fees paid by the Client to Piemetrics in the 12 months preceding the event giving rise to the claim, or £1,000 if no fees were paid.
10. Termination
10.1. Either party may terminate these Terms with 30 days’ written notice.
10.2. Piemetrics may suspend or terminate the Client’s access to the Services immediately if the Client breaches these Terms.
10.3. Clauses relating to intellectual property, confidentiality, liability, and governing law shall survive termination.
11. Governing Law and Jurisdiction
11.1. These Terms are governed by and construed in accordance with the laws of England and Wales.
11.2. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
12. Miscellaneous
12.1. Piemetrics may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
12.2. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force.
12.3. These Terms constitute the entire agreement between the parties and supersede all prior agreements or understandings.
